Notice is hereby given that an EGM will be held at 7pm Thursday 7th December 2017 at RWBRFC clubhouse.
The purpose of the meeting is to consider, and if thought fit, change the constitution to allow the club’s CASC status to be changed from our existing unincorporated body to a new limited company (RWB RFC Ltd).
Resolution: To amend clauses 11.1, 11.3, 14.8 and 14.9 as outlined below.

The proposed changes to sections and 11 and 14 of the constitution are
- Executive Committee and any potential dissolution of the Royal Wootton Bassett RFC
Existing clause: 11.1 If the club is dissolved for any reason any surplus assets which arise on dissolution shall be distributed only for any approved sporting or charitable purposes within the town of Royal Wootton Bassett.
New Clause: 11.1 Upon dissolution of the club any remaining assets shall be given or transferred to another registered CASC , a registered charity or the sport’s governing body for use by them in community related sports.
Existing Clause: 11.3 In the event of Royal Wootton Bassett Rugby Football Club being disbanded any remaining Landfill Tax Credit Scheme money shall be transferred to any enrolled Environmental Body and not to an organisation of similar objectives and status.
New Clause: 11.3 In the event of Royal Wootton Bassett Rugby Football Club being disbanded any remaining Landfill Tax Credit Scheme money shall be transferred to any enrolled Environmental Body which is either a Registered CASC or a charity.
- Membership Subscriptions, Fees and Donations
Existing clause: 14.8 Every adult candidate for membership or change of class of membership shall be proposed and seconded by a voting member of the Club. The Membership Secretary will inform successful candidates of their election as members and request payment of the appropriate subscription. Unsuccessful candidates will be informed of the outcome and the reason why and the options available to them.
New Clause: 14.8 Every adult candidate for membership or change of class of membership will require application to the Membership secretary. The Membership Secretary will inform successful candidates of their election as members and request payment of the appropriate subscription. Unsuccessful candidates will be informed of the outcome and the reason why and the options available to them.
Existing Clause: 14.9 Every candidate for the Vice President Membership class must be proposed and seconded by existing Vice President Members of the Club. After consultation with the Executive Committee, the Membership Secretary will inform candidates of the outcome. Successful candidates will have their election as a Vice President member confirmed and a payment request for the appropriate donation. Unsuccessful candidates will be informed of the outcome and the reason why and the options available to them.
New Clause: 14.9 Every candidate for the Vice President Membership class must apply to the Membership Secretary, the Membership Secretary will inform candidates of the outcome. Successful candidates will have their election as a Vice President member confirmed and a payment request for the appropriate donation. Unsuccessful candidates will be informed of the outcome and the reason why and the options available to them.
At the meeting members will be asked to vote on the resolution. Only paid up eligible Members of the club will be able to vote at this EGM. The club constitution defines eligible members as Senior Playing, Coaches, Rugby Supporters, Vice President and Honorary Life Member.
